Salary RangeFrom $130000 to $145000 Annually
Minimum Qualifications EDUCATION & REQUIREMENTS:
Education Level required: J.D. or LL.B from accredited law school; admission to New York State Bar.
Relevant experience required: Minimum of 6 years of legal experience, preferably in a finance-related field.
Knowledge required: general corporate law; public sector financing law.
Duties Description BASIC FUNCTION:
Represent and advise the Corporation with respect to all aspects of its activities and functions, with a concentration in finance matters and specified portfolio management functions.
WORK PERFORMED:
•Represent ESD on all aspects of general corporate and project-specific finance matters, including bond financing, specific management functions (including workouts) and other corporate and finance matters as determined by the General Counsel or Deputy General Counsel.
•Provide counsel and prepare transactional and other documents in relation to the issuance of tax-exempt governmental bonds and eligible tax-exempt conduit private activity bonds.
•Manage real estate transactions and supervise statutory property disposition compliance, particularly in relationship to properties with outstanding bonds.
•Provide counsel and advice to the finance department and other ESD departments, as required.
•Assist in ensuring compliance with the UDC Act, all UDC enabling legislation and related laws and regulations.
•Oversee corporate governance of local development corporations and compliance with Not-for-Profit Corporation Law.
•Advise Loans & Grants department on amendments to project agreements to ensure consistent administration and enforcement.
•Supervise Assistant Counsel and/or interns on finance and portfolio management functions.
•Supervise outside counsel and consultants to ESD.
•Draft and/or review and provide advice with respect to legislation and regulation that might affect ESD.
•Draft and negotiate all necessary transactional, corporate and administrative instruments and other documents relating to assigned tasks.
•Initiates solutions to legal problems.
•Other duties as assigned by the General Counsel or Deputy General Counsel.
