Minimum Qualifications Juris Doctorate and admission to the New York State Bar. Seeking candidate with three to four (3-4) years of progressive experience with general corporate matters including contracts and human resources; public finance; environmental law; or Local Finance Law. An equivalent combination of education and experience sufficient to successfully perform the essential duties of the job may be considered, at the discretion of the Corporation.

Knowledge/skill in the following areas is desired:

• Corporate procedures and principles
• General Municipal and Local Finance Law, as well as contract and environmental law
• Public finance and investment laws and principles
• Capital markets
• Commercial transactions principles
• Legislative analysis and drafting

Knowledge/skill in the following areas is required:

• Efficient management of multiple projects
• Drafting of legal documents
• Negotiation
• Strong verbal and written communication skills and an ability to interact well with people in a professional manner
• Proficient in Microsoft Word

All applicants must possess a valid New York State driver’s license as travel is necessary to attend conferences and bond closings and visit client communities.

Duties Description The Deputy Counsel provides assistance in meeting the legal needs of the Corporation.

• Provide legal assistance on general corporate matters including confidential human resources and ethics matters; the drafting and review of all contracts entered into by the Corporation; and providing guidance on procurement matters, including compliance with procurement guidelines.

• Assist with all legal aspects related to leveraged and direct bond financings including bond and loan structuring, tax analysis and the development and preparation of Public Offering Statements, bond purchase agreements and other related closing documents.

• Assist with the legal review of funding applications, bond resolutions, State Environmental Quality Review Act (“SEQRA”) compliance documents, inter-municipal agreements and other related materials associated with the timely closing of financings.

• Assist in monitoring investment guidelines and existing investment portfolio, as well as participate in the legal review and approval of additional permitted investments.


• Monitor, identify, analyze and comment on changes in laws, rules, regulations, pertinent bills and legislation impacting the Corporation’s programs. Provide recommendations for, and the revision of, impacted Corporation programs and documents.
