Duties Description Attend meetings of the Board of Trustees, Economic Development Public Allocation Board (EDPAB), Audit and Governance committees
As a backup to the Corporate Secretary, maintain the seal of the Authority and affix such seal to all documents and papers authorized by the Trustees or for documents and papers authorized by senior management and requiring such seal to be affixed, as needed
Provide guidance regarding response to requests under the Freedom of Information Law (FOIL) or in response to other legitimate requests or mandates
Lead and support the Corporate Secretary in ensuring compliance with corporate governance regulations and best practices
Oversee the preparation of Board and Committee meetings, ensuring all materials are comprehensive, accurate, and distributed in a timely manner
Stay informed of legal, statutory, legislative, and regulatory developments affecting the governance of NYPA and its subsidiaries and advisory bodies
Direct the preparation and filing of regulatory documents, including annual reports and SAPA filings, ensuring accuracy and compliance with all regulatory requirements
Manage corporate records and adherence to regulatory requirements, implementing systems and processes for efficient recordkeeping and compliance monitoring
Attend legislative type hearings conducted pursuant to SAPA or Authority rules and ensure proper and appropriate distribution of the record thereof
Cultivate and maintain close working relationships with the Vice President and Corporate Secretary, EVP & General Counsel, President & CEO, Chairman, Board members and senior management
Mentor the Corporate Secretary’s Office staff fostering a high-performance culture and providing guidance on complex governance issues

Minimum Qualifications Knowledge, Skills and Abilities
Proven experience in corporate governance, compliance, and board management, ideally within a similar industry or highly regulated environment
Strong understanding of legal, regulatory, and governance frameworks, with the ability to navigate and interpret complex legislative and regulatory developments
Demonstrated ability to manage multiple priorities, deliver high-quality work under tight deadlines, and lead a team effectively
Excellent interpersonal, communication and public-speaking skills, with the ability to build and maintain relationships with senior executives, board members, and other key stakeholders
Demonstrated capability to lead and manage both direct and indirect reports, ensuring alignment with organizational goals and fostering a collaborative and high-performance work environment
Demonstrated experience with leadership, negotiation, and influencing skills
Experience in Planning and Administration

Education, Experience and Certifications
Juris Doctor Degree, admission to the New York State Bar and admitted to practice in New York State and Federal courts is required
7 or more years of related experience, or an equivalent combination of training and experience preferred
3 or more years of experience managing employees / leading a team preferred
